WAIVER, RELEASE OF LIABILITY, NON-DISCLOSURE AGREEMENT
& TERMS OF USE
This Waiver, Release of Liability, Non-Disclosure Agreement, and Terms of Use (“Agreement”) is entered into by and between the undersigned participant (“Participant”) and MORARI MORTEM LLC (“Company”), for participation in any and all training, events, exercises, or activities offered by the Company, including but not limited to tactical medicine, pistol and rifle training, and counter-custody training (collectively, “Training Activities”).
1. ASSUMPTION OF RISK
I understand that the Training Activities involve inherently dangerous activities that may result in serious injury, disability, or death. These risks include but are not limited to:
• Use of firearms and live ammunition
• Physical confrontation, simulated scenarios, and stress-induced training
• Environmental hazards and dynamic movement
• Physical exertion and bodily contact
I voluntarily assume all risks, whether foreseeable or unforeseeable, and take full responsibility for my participation.
2. RELEASE AND WAIVER OF LIABILITY
In consideration of being permitted to participate, I hereby release and discharge MORARI MORTEM LLC and its owners, instructors, affiliates, contractors, and representatives ("Released Parties") from all liability for any loss, damage, injury, or death that may occur as a result of participation, including those caused by negligence.
3. INDEMNIFICATION
I agree to indemnify and hold harmless the Released Parties from any claims, damages, liabilities, and expenses (including attorney’s fees) arising from or related to my participation in Training Activities.
4. MEDICAL TREATMENT
I authorize MORARI MORTEM LLC to obtain emergency medical treatment for me if necessary. I agree to bear any costs associated with such treatment and release the Company from any liability related to it.
5. FITNESS TO PARTICIPATE
I affirm that I am physically and mentally fit to participate in Training Activities. I am not under the influence of drugs, alcohol, or any condition that may impair my ability to safely engage in training.
6. FIREARM SAFETY RESPONSIBILITY
I understand that firearms, including live ammunition, may be used. I agree to follow all safety instructions from instructors without exception. Unsafe behavior may result in immediate removal from the course without refund.
7. USE OF IMAGE AND LIKENESS
I grant MORARI MORTEM LLC the right to photograph, film, and record me during Training Activities and to use these recordings for promotional, educational, or commercial purposes. I waive any rights to compensation or ownership of such media.
8. NON-DISCLOSURE AGREEMENT (NDA)
8.1 Confidential Information
I acknowledge that I may be exposed to confidential or proprietary information including training techniques, tactics, scenarios, participant identities, and proprietary methods.
8.2 Non-Disclosure
I agree not to disclose, reproduce, or distribute any such confidential information to third parties without express written consent from MORARI MORTEM LLC.
8.3 Non-Use
I shall not use confidential information for personal gain, outside instruction, or in any commercial or training context not explicitly authorized.
8.4 Duration
This obligation remains in effect indefinitely, even after my participation ends.
8.5 Remedies
I understand that violation of this NDA may cause irreparable harm to the Company and may result in legal action, including injunctive relief and damages.
9. GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to conflict of law principles.
The Participant agrees that any legal action, proceeding, or dispute arising from or relating to this Agreement or the Training Activities shall be brought exclusively in a state or federal court located in Comanche County, Lawton, Oklahoma, and hereby consents to the personal jurisdiction and venue of such courts.
Notwithstanding the foregoing, MORARI MORTEM LLC reserves the right to initiate legal action in any jurisdiction where the Participant resides or where the activities giving rise to the dispute occurred.
10. TERMS OF USE
10.1. Purpose and Scope of Training
The Company provides professional training in tactical emergency casualty care, firearms, and counter-custody skills to enhance personal safety, promote lawful responses to emergencies, and prepare individuals for situations requiring responsible decision-making. The knowledge and skills taught are intended for use in ethical, legal, and responsible contexts only.
10.2. Prohibited Use
You agree that you will not use any of the skills, techniques, or knowledge learned through our Training Services for any illegal, unethical, or immoral purpose. Specifically:
Illegal Use: The use of any skills taught by the Company for illegal activities, including but not limited to violence, assault, unlawful detention, kidnapping, or any criminal conduct, is strictly prohibited.
Unethical Use: You agree to refrain from using the skills and knowledge gained through the training for activities that are unethical, including causing harm to others, violating human rights, or any behavior that violates the principles of justice and fairness.
Firearms and Force: You agree to use firearms and force only in compliance with applicable laws. Training in firearms and defensive tactics is intended solely for self-defense, the protection of others, and lawful activities. Any offensive or unjustified use of force is prohibited.
Counter-Custody Skills: The counter-custody skills taught are meant to be used to protect against unlawful detention or abduction. You agree not to use these skills to participate in or facilitate illegal detentions, arrests, or restraint of individuals. You also agree to never us these skills to defeat any form of legal detention, arrest, or restraint.
Ethical Use of Tactical Medicine: You agree to practice any of the medical skills taught by The Company only within the scope of practice permitted by your certification or qualifications. If you have a valid scope of practice for medical interventions, you must operate within the ethical and legal boundaries of that scope. Any use of medical skills outside your certified scope of practice, or in a manner that endangers others, is prohibited. The Company strongly advises that all medical procedures are carried out only by certified and qualified individuals as per their respective training and legal authorization.
10.3. Legal and Ethical Responsibility
You acknowledge and agree to the following:
Compliance with Laws: You are responsible for understanding and following all applicable local, state, and federal laws regarding the use of firearms, emergency medical interventions, and defensive tactics. The Company is not responsible for any unlawful actions taken by participants.
Personal Responsibility: You are solely responsible for how you use the techniques and skills learned through our Training Services. The Company disclaims any liability for misuse or improper application of the skills taught.
Respect for Rights: The training provided is intended to enhance personal safety, protect life, and prevent harm. You agree to respect the rights of others and avoid using these skills in any way that infringes upon the freedoms and safety of others.
10.4. Termination of Access
The Company reserves the right to suspend or terminate your participation in any training program or revoke access to any services if we determine, at our sole discretion, that you have violated any part of this Agreement. If your access is terminated, you will not be entitled to any refund or compensation for any services rendered prior to termination.
10.5. Indemnification
You agree to indemnify and hold harmless the Company, its instructors, employees, agents, and affiliates from any and all claims, liabilities, damages, and costs (including reasonable attorney's fees) arising out of your breach of this Agreement or the illegal, unethical, or improper use of any techniques, skills, or knowledge gained through our Training Services.
10.6. Limitation of Liability
The Company is not liable for any injury, damage, loss, or other consequence that may arise from your participation in our Training Services. This includes but is not limited to physical injuries, emotional distress, property damage, or any legal consequences that may result from the use or misuse of the skills taught.
10.7. Amendments to Terms
The Company reserves the right to modify, update, or change these Terms of Use at any time. Any changes will be posted on our website or communicated to you directly. The updated Terms will become effective immediately upon posting. Your continued participation in our Training Services constitutes your acceptance of any such changes.
11. ENTIRE AGREEMENT
This Agreement constitutes the full and final agreement between MORARI MORTEM LLC and the Participant and supersedes all previous written or oral agreements. Any changes must be made in writing and signed by both parties.
